Terms of Service

1. Definitions
In these Terms of Service, the following terms have the meanings set out below:
- “InitLabs” (also “we”, “us”, “our”): InitLabs, located at Kelvinstraat 34A, 6601HE Wijchen, the Netherlands.
- “Client”: any company or organisation that engages InitLabs for staffing services.
- “Professional”: any IT professional, developer, engineer, or specialist who is represented, placed, or matched by InitLabs.
- “Services”: all staffing services provided by InitLabs, including but not limited to IT staffing, talent placement, team extension, project-based staffing, and direct hire.
- “Engagement”: the period during which a Professional is assigned to work with or for a Client through InitLabs.
- “Agreement”: the specific contract between InitLabs and the Client governing a particular Engagement, including any statements of work, schedules, or addenda.
- “Confidential Information”: any non-public information disclosed by one party to another, including business strategies, technical data, client lists, pricing, and proprietary methodologies.
2. Services
InitLabs provides IT staffing services designed to connect businesses with qualified technology professionals. Our services include:
- IT Staffing: We source, vet, and place IT professionals for temporary or long-term assignments tailored to your project needs and team requirements.
- Talent Placement: We identify and present candidates who match your technical requirements, cultural fit, and growth objectives.
- Team Extension: We augment your existing team with skilled professionals who integrate seamlessly into your workflows and processes.
- Project-Based Staffing: We assemble dedicated teams for specific projects, providing the right mix of expertise for defined deliverables and timelines.
- Direct Hire: We recruit permanent employees on your behalf, managing the search, screening, and presentation process from start to finish.
InitLabs acts as an intermediary between Clients and Professionals. We are committed to providing high-quality matches based on thorough assessment of both client requirements and professional capabilities.
3. Client Obligations
To ensure successful engagements, Clients agree to the following:
- Accurate requirements: Provide clear, complete, and accurate descriptions of the role, project requirements, technical environment, and team dynamics. Incomplete or misleading requirements may affect the quality of our matching process.
- Timely feedback: Respond to candidate presentations, interview scheduling, and other communications within a reasonable timeframe. Delays in feedback may impact candidate availability.
- Fair evaluation: Evaluate presented Professionals based on the stated requirements and provide constructive feedback on any candidates who are not selected.
- Working conditions: Provide a professional and safe working environment for placed Professionals, including appropriate tools, access, and onboarding support.
- Compliance: Comply with all applicable employment laws, health and safety regulations, and anti-discrimination legislation in relation to placed Professionals.
- Non-solicitation: During an Engagement and for a period of 12 months after its conclusion, the Client shall not directly solicit or hire the Professional outside of the terms agreed with InitLabs, unless a direct hire arrangement has been agreed upon.
4. Professional Engagement
The following terms govern how Professionals operate during an Engagement:
- Working relationship: Unless otherwise agreed in a direct hire arrangement, Professionals engaged through InitLabs remain contracted to or through InitLabs for the duration of the Engagement.
- Intellectual property: All intellectual property created by a Professional during an Engagement shall belong to the Client, unless otherwise specified in the Agreement. InitLabs will ensure that appropriate IP assignment provisions are included in its contracts with Professionals.
- Confidentiality: Professionals are bound by confidentiality obligations and will treat all Client information as confidential. InitLabs ensures that all placed Professionals sign appropriate non-disclosure agreements.
- Performance: InitLabs monitors the quality of Engagements and is available to mediate any performance concerns. Clients are encouraged to raise any issues promptly so they can be addressed effectively.
- Availability: Professionals will adhere to the agreed-upon schedule and availability. Any changes in availability will be communicated as early as possible.
5. Fees and Payment
- Fee structure: Fees are specified in the individual Agreement for each Engagement. Fees may be structured as hourly rates, fixed project fees, or placement fees, depending on the type of service.
- Invoicing: InitLabs invoices on a monthly basis for ongoing engagements, or upon completion of milestones as specified in the Agreement. For direct hire placements, the placement fee is invoiced upon the Professional starting the role.
- Payment terms: Unless otherwise agreed in writing, payment is due within 30 days of the invoice date (net 30).
- Late payment: Overdue invoices are subject to statutory commercial interest (currently the ECB refinancing rate plus 8 percentage points) in accordance with Dutch law. InitLabs reserves the right to suspend Services if payment is overdue by more than 14 days after a written reminder.
- Expenses: Any pre-approved expenses incurred by Professionals on behalf of the Client will be invoiced separately with supporting documentation.
- Rate adjustments: For ongoing engagements exceeding 12 months, InitLabs reserves the right to propose rate adjustments with 60 days written notice, reflecting market conditions and inflation.
6. Guarantees
InitLabs is committed to the quality and success of every placement:
- Replacement guarantee: For staffing engagements, if a Professional does not meet the agreed requirements within the first 20 working days, InitLabs will provide a replacement at no additional cost. This guarantee requires that the Client has provided accurate and complete requirements upfront.
- Quality commitment: All Professionals presented by InitLabs have been assessed for technical competency, communication skills, and professional conduct. We stand behind the quality of our matching process.
- Direct hire guarantee: For direct hire placements, if the Professional leaves or is terminated within the first 90 days for reasons related to competency or fit, InitLabs will conduct a replacement search at no additional fee. This does not apply to terminations due to redundancy, restructuring, or reasons unrelated to the placement.
7. Transition to Direct Employment
We understand that successful engagements sometimes lead to permanent relationships:
- After a minimum Engagement period of 6 months (or as otherwise agreed in the Agreement), the Client may transition a Professional to direct employment.
- A transition fee applies, as specified in the Agreement. This fee accounts for InitLabs’s investment in sourcing, vetting, and managing the Professional.
- The transition fee is reduced proportionally based on the duration of the completed Engagement, as detailed in the Agreement.
- InitLabs will facilitate a smooth transition, including handling administrative and contractual matters.
8. Confidentiality
- Mutual obligation: Both InitLabs and the Client agree to treat all Confidential Information received from the other party as strictly confidential and to use it solely for the purpose of the business relationship.
- Scope: Confidential Information includes, but is not limited to, business plans, client and candidate lists, pricing structures, technical data, and proprietary processes.
- Duration: Confidentiality obligations survive the termination of any Agreement and remain in effect for a period of 2 years after termination, or longer where required by the nature of the information.
- Exceptions: Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party; (c) is independently developed without reference to the Confidential Information; or (d) is required to be disclosed by law or court order.
9. Limitation of Liability
- InitLabs’s total aggregate liability under any Agreement shall not exceed the total fees paid by the Client to InitLabs under that Agreement in the 12 months preceding the event giving rise to the claim.
- InitLabs shall not be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunity, or reputational damage.
- InitLabs is not liable for the actions, omissions, or performance of Professionals once they are working at the Client’s premises or under the Client’s direction, except where InitLabs has been negligent in its vetting or matching process.
- Neither party shall be liable for failure to perform its obligations where such failure results from circumstances beyond its reasonable control (force majeure), including but not limited to natural disasters, pandemics, government actions, or infrastructure failures.
- Nothing in these Terms limits liability for fraud, wilful misconduct, or liability that cannot be excluded under applicable law.
10. Termination
- Termination of Engagement: Either party may terminate an individual Engagement by providing written notice as specified in the Agreement. Unless otherwise agreed, the notice period is 30 calendar days.
- Termination for cause: Either party may terminate an Agreement immediately by written notice if the other party: (a) commits a material breach that is not remedied within 14 days of written notice; (b) becomes insolvent, enters liquidation, or has a receiver appointed.
- Effect of termination: Upon termination, the Client shall pay all outstanding fees for Services rendered up to the date of termination, including any applicable notice period fees. Sections on confidentiality, intellectual property, limitation of liability, and governing law survive termination.
- Handover: InitLabs will cooperate with the Client to ensure a professional and orderly transition of any ongoing work upon termination.
11. Governing Law and Jurisdiction
These Terms of Service and any Agreements entered into between InitLabs and the Client are governed by and construed in accordance with the laws of the Netherlands.
Any disputes arising from or in connection with these Terms or any Agreement shall first be attempted to be resolved through good-faith negotiation. If the parties cannot reach a resolution within 30 days, the dispute shall be submitted to the exclusive jurisdiction of the competent courts in Arnhem, the Netherlands.
12. Changes to These Terms
InitLabs reserves the right to update or modify these Terms of Service at any time. When material changes are made:
- We will update the “Last updated” date at the bottom of this page.
- For Clients with active Agreements, we will provide written notice at least 30 days before changes take effect.
- Continued use of our Services after the effective date of changes constitutes acceptance of the revised Terms.
- Changes do not apply retroactively to existing Agreements unless both parties agree in writing.
